We may revise these Terms of Use from time to time by updating this posting. Unless otherwise provided below, the revised terms will take effect 30 days after they are initially posted on the Site. It is your responsibility to periodically check the Site for the latest Terms of Use. You may always find the latest Terms of Use by clicking on the Terms of Use link at the bottom of www.LeadGenerationDomains.com.com. BY CONTINUING TO USE THE SITE, YOU ARE INDICATING YOUR AGREEMENT TO THE REVISED TERMS OF THIS USER AGREEMENT AND ALL REVISIONS THEREOF. As long as you comply with this Agreement, and subject to the restrictions in this Agreement, LeadGenerationDomains.com grants you a personal, non-exclusive, non-transferable, limited permission to enter and use the Site. These Terms of Use are effective upon July 15th, 2007 for current Users, and upon acceptance for new Users. 

1. This is a Contract 

By using or registering on this Site, you acknowledge your acceptance of the terms and conditions of this Agreement and represent and warrant that you can legally enter into this Agreement. IF YOU DO NOT AGREE TO THIS TERMS OF USE THEN YOU MAY NOT USE THE SITE AND MUST IMMEDIATELY CEASE DOING SO. 

2. Provide Accurate Information 

You agree to provide true, accurate, and complete information when registering and to maintain and update such information to maintain its truth, accuracy, and completeness. Whenever you post any information on or to the Site (including posting a request for services, bidding on a posted project, posting your profile, and/or providing feedback), you agree to provide true, accurate, and complete information. LeadGenerationDomains.com may terminate your account if we reasonably believe that any of the information you provided is untrue, inaccurate, or incomplete. 

3. LeadGenerationDomains.com Overview 

LeadGenerationDomains.com functions as a forum to connect buyers of services ("Buyers") and service providers who bid on providing such services ("Service Providers") in an online marketplace for the exchange of services, as well as to provide other services that LeadGenerationDomains.com may offer from time to time. As a facilitator, LeadGenerationDomains.com is not involved in the actual transactions between Users of the Site. Accordingly, LeadGenerationDomains.com does not, and is under no obligation to, ensure the timeliness, accuracy, or completion of projects between Buyers and Service Providers. 

4. Posting of Information on the Site 

As a User, you will be allowed to post information, data, and text to publicly accessible and limited-access areas of the Site. You are not permitted to post logos, seals or slogans from third parties on any part of the Site unless they are provided by LeadGenerationDomains.com or a LeadGenerationDomains.com approved independent verifier, or you have received prior express written permission from LeadGenerationDomains.com to display such logo, seal, or slogan. 

To operate the Site, LeadGenerationDomains.com needs certain rights. Consequently, when you post information, text, files, links, attachments, or other materials (collectively, "Content") to publicly visible areas of the Site, you are granting, or warranting that the owner of such Content has granted, a worldwide, royalty-free, perpetual, irrevocable, sub-licensable, non-exclusive right to use, reproduce, modify, transmit, distribute, perform, and display such Content (in whole or in part) and to incorporate such Content in other works in any form, media or technology. Subject only to restrictions in our Privacy Policy, all material, information, or ideas that you upload, publish, distribute, post, or disseminate on or through the Site will be treated as non-confidential and non-proprietary, and may be used or disseminated by LeadGenerationDomains.com or its affiliates for any purpose. You also acknowledge and agree that LeadGenerationDomains.com is free to use any ideas, concepts, know-how, feedback, or techniques that you provide for any purpose without any compensation to you. 

You will use good judgment when posting information, comments, or other Content regarding other Users, LeadGenerationDomains.com, or any other third party. You may be held legally responsible for damages suffered by other Users, LeadGenerationDomains.com, or other third parties as a result of legally actionable or defamatory comments or other information or Content that you post to the Site. LeadGenerationDomains.com is not legally responsible for any comments, information or other Content posted or made available on the Site by any User or third party, even if such information or Content is defamatory or otherwise legally actionable. LeadGenerationDomains.com is not responsible for and does not monitor or censor Content for accuracy or reliability. LeadGenerationDomains.com may remove or restrict access to information or Content posted or made available on the Site by its Users or any third party if ordered to do so by a court or if LeadGenerationDomains.com considers such information or Content to be in violation of this Agreement or posted rules or policies, including information or Content that LeadGenerationDomains.com reasonably considers to be obscene, violent, harassing, illegal, disparaging of LeadGenerationDomains.com or other Users, or otherwise objectionable. 

5. Buying and Selling Services on LeadGenerationDomains.com 

Buyers will use the Site to post projects and make bid requests of Service Providers. We do not control, and are not involved in, the actual transactions between Service Providers and Buyers. Accordingly, we do not set or endorse (i) the price, contract terms, quality, conformance, or legality of the services or projects advertised or offered, or (ii) the ability of Service Providers to offer services and/or perform accordingly. We are not responsible for any transaction and/or contact, or the result of any such transaction and/or contact, made by and between Users. 

You agree to: (a) be financially responsible for your use of the Site and the purchase of any services; (b) abide by LeadGenerationDomains.com's guidelines on posting projects and bidding on projects, which may be updated from time to time as set forth in this Agreement; and (c) perform your obligations and complete the transaction as specified by the terms of the posted project and/or your bid, once a Buyer has selected a Service Provider and the Service Provider has accepted a project, respectively. 

6. LeadGenerationDomains.com Subscription Fees 

A. Subscription Levels. There is no charge for posting a project on LeadGenerationDomains.com. LeadGenerationDomains.com charges customizable subscription fees based on the number of categories, sub-categories and cities you want to advertise in. Subscriptions may be paid monthly, quarterly or annually, with discounts given for quarterly and annual subscriptions in exchange for up-front payments of the full payment plan. The billing period begins on the date LeadGenerationDomains.com receives your payment. Monthly, quarterly, and annual periods are calculated from the beginning of that billing period. 

B. Automatic Renewal. Monthly, quarterly, and annual subscription fees are automatically renewed, unless cancelled by you. If you pay by credit card, LeadGenerationDomains.com will automatically charge the monthly, quarterly, or annual fee to your credit card and you authorize us to charge such credit card for the appropriate subscription fees and amounts stated. LeadGenerationDomains.com reserves the right to increase subscription fees or to institute new fees at any time, upon reasonable notice posted in advance on this Site, but any such increase in fees will not effect then-current pre-paid subscriptions. Users changing to quarterly or annual subscriptions will have their new rates take effect at the end of their then-current pre-paid subscription. Upgrading or changing your subscription, or adding additional categories, will result in a new billing date effective upon the date of payment of the additional fees and, if applicable, will result in a credit of the unused portion of the then-existing category subscription. 

C. Downgrades to a lower level or Your Cancellations of Subscriptions. To cancel your subscription, click on the "My Account" link, then the "Downgrade or Cancel a Subscription" link. Cancellation goes into effect at the end of your present billing cycle. LeadGenerationDomains.com will send you an email confirmation once your subscription has been cancelled. You will not be liable for any additional subscription fees after your cancellation is effective. Subscription fees, whether paid monthly, quarterly, or annually, are charged up-front and no refunds or credits are given upon cancellations or downgrades of subscriptions. If LeadGenerationDomains.com does not receive your subscription payment on the billing cycle due date, LeadGenerationDomains.com will automatically cancel the subscription. 

7. User Obligations 

You agree NOT to do any of the following while using the Site: 

 * Violate any applicable law or regulation;

 * Access, tamper with or use non-public or non-authorized areas of the Site;

 * Tamper with postings of other Users;

 * Solicit or gather any User's information available from the Site, such as other Users' names and email addresses, or to transmit any unsolicited advertising, "junk mail", "spam" or "chain letters";

 * Do anything that would create or impose an unreasonable or disproportionately large burden or load on the Site;

 * Impersonate or misrepresent your affiliation with any person or entity;

 * Post false or misleading information about a product, service or service request;

 * Post or transmit any Content that infringes a third party's intellectual property rights or rights of publicity or privacy or that is unlawful, untrue, fraudulent, harassing, libelous, defamatory, abusive, threatening, pornographic, harmful (including viruses, corrupted files, or any other similar software or programs), disparaging of LeadGenerationDomains.com or other Users, or otherwise objectionable;

 * Violate any other policies stated on the Site;

 * Repeat any action after you receive a warning or request to stop from LeadGenerationDomains.com, whether or not that action is explicitly stated in policies. This includes continuing to use the LeadGenerationDomains.com service under the same account, a different account, or reregistering under a new account after your account has been temporarily suspended, indefinitely suspended, or terminated; or

 * Fail to respond to an email from LeadGenerationDomains.com regarding violation, dispute or complaint. 

8. LeadGenerationDomains.com May Cancel Your Account 

LeadGenerationDomains.com reserves the right to terminate your account for any reason, at our sole discretion. We may cancel your account if we reasonably believe that you have violated or acted inconsistently with this User Agreement, or violated our rights or those of another party. We will notify you if we cancel your account, unless in our judgment giving notice would cause a risk of further violation or damages. However, we will notify you that your account will be canceled if the law requires such notification. When your account is canceled, you may no longer have access to data, messages, files and other material you keep on the Site. The material may be deleted along with all your previous posts and bids. The provisions entitled "Errors and Disclaimer of Warranties," "Indemnity," "Limitation of Liability," "Audit Provisions and Keeping Records," "Reservation of Rights," "Intellectual Property," "General Provisions," and all other provisions that by their nature are intended to survive termination of this Agreement, will survive cancellation of your registration or any other termination of this Agreement. If LeadGenerationDomains.com terminates this User Agreement based upon your breach of any portion of the User Agreement, LeadGenerationDomains.com reserves the right to refuse to provide registration to you in the future. 

9. Privacy 

We use your information only as described in the LeadGenerationDomains.com Privacy Policy, which is incorporated herein by reference. We view protection of Users' privacy as a very important community principle. We store and process your information on computers located in the United States that are protected by security devices. For a complete description of how we use and protect your personal information, see the LeadGenerationDomains.com Privacy Policy located at pp.php. If you object to your information being transferred or used in this way, please do not use our services. 

10. Intellectual Property. 

A. Protection of Copyrights and Trademarks. The Site contains trademarks and other material furnished by LeadGenerationDomains.com, its licensors, and other Users. You should assume that everything you see or read in publicly viewable areas of the Site that was not furnished or received by you (such as images, photographs, illustrations, text and other materials) is protected by intellectual property laws. You may not sell, reproduce, distribute, modify, display, publicly perform, prepare derivative works based on, repost or otherwise use any of the Content in any way for any public or commercial purpose without prior written consent of LeadGenerationDomains.com or the rights holder. 

B. Intellectual Property Policy. LeadGenerationDomains.com respects the intellectual property of others and expects you to do the same. At our discretion and in appropriate circumstances, LeadGenerationDomains.com may terminate your account if you infringe upon the intellectual property rights of others. 

If you have a claim of copyright infringement, you must send proper written notification under the Digital Millennium Copyright Act, 17 United States Code, 512(c)(2) ("Digital Millennium Copyright Act of 1998"). C. Reservation of Rights; Limited Licenses. The Site and all intellectual property rights related to the Site, including copyrights, trademarks, service marks and any feedback left by Users on the Site, are owned or licensed by us, and all right, title and interest in the Site and the related intellectual property rights remain our property. You must not reproduce, reverse engineer, decompile, disassemble, modify or create derivative works with respect to the Site and the related intellectual property, including any services provided via the Site, and this Agreement does not grant you permission to do so. You acknowledge that the LeadGenerationDomains.com logo and name are trademarks of LeadGenerationDomains.com, and may be registered in certain jurisdictions. All other product names, company names, marks, logos, and symbols on the Site may be the trademarks of their respective owners. Except where expressly provided by LeadGenerationDomains.com, nothing in this User Agreement shall be construed to confer any license under any of LeadGenerationDomains.com's or any third party's intellectual property rights, whether by estoppel, implication, or otherwise. 

11. No Reproduction of the Site 

This Site or any portion of this Site are the property of LeadGenerationDomains.com and may not be reproduced, duplicated, copied, sold, resold, or otherwise exploited for any commercial purpose that is not expressly permitted by LeadGenerationDomains.com. LeadGenerationDomains.com reserves the right to refuse service, terminate accounts, and/or cancel service requests in its discretion, including if LeadGenerationDomains.com believes that a User's conduct violates applicable law or is harmful to the interests of LeadGenerationDomains.com or its Users. 

12. NO WARRANTY; DISCLAIMERS 

YOU USE THIS SITE AT YOUR OWN RISK. We seek to provide a convenient and functional Site, but we do not guarantee that it will be error free or that the Site or the server that operates it are free of viruses or other harmful components. You should keep backup copies of material You maintain on or use with the Site. Due to the nature of security and viruses, LeadGenerationDomains.com strongly advises you to take your own security precautions, such as personal virus scanning software and/or encrypting sensitive communications. 

EVERYTHING ON THE SITE (INCLUDING THIRD-PARTY APPLICATIONS, SITE CONTENT AND SERVICES ON THE SITE) IS PROVIDED TO YOU "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. 

LEADGENERATIONDOMAINS.COM MAKES NO WARRANTY THAT THE SITE (INCLUDING THIRD-PARTY APPLICATIONS AND SITE CONTENT) WILL MEET USERS' REQUIREMENTS, OR THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; NOR DOES LEADGENERATIONDOMAINS.COM MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM THE SITE OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SITE. LEADGENERATIONDOMAINS.COM MAKES NO WARRANTY REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH THE SITE OR ANY TRANSACTIONS ENTERED INTO THROUGH THE SITE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM LEADGENERATIONDOMAINS.COM OR THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. 

Our contracts with certain of our suppliers provide for scheduled maintenance, preventative maintenance, and emergency maintenance work. We will have no liability for any unavailability of the Site caused by our supplier's performance or lack of performance of the maintenance work needed to keep the Site operable. We also will not have any liability for any loss of data or transactions resulting from delays, non-deliveries, mis-deliveries or service interruptions caused by us, any third-party acts, the acts of any web services provider or problems with the Internet infrastructure and networks external to the Site. LeadGenerationDomains.com reserves the right to stop providing the Site at any time. 

The Site may contain links to other web sites or resources. LeadGenerationDomains.com is not responsible or liable for (i) the availability or accuracy of such sites or resources, or (ii) the content, advertising, or products on or available from such sites or resources. When we provide links to other web sites or resources we do so only as a convenience and do not endorse and are not responsible for the content of any linked site. 

13. Your Relationship with Third Parties 

Your correspondence with merchants, advertisers, or Users, including the development and delivery of related goods or services, and any other terms and conditions associated with such dealings, are solely between you and such merchant, advertiser, or User. You agree not to hold LeadGenerationDomains.com liable for any loss or damage resulting from any such dealings. 

14. Third-Party Content and Monitoring 

LeadGenerationDomains.com is a distributor (and not a publisher) of content supplied by third parties (including LeadGenerationDomains.com approved independent verifiers) and Users. LeadGenerationDomains.com has no editorial control over such content. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including Users and LeadGenerationDomains.com approved independent verifiers, are those of the respective author(s) or distributor(s) and not of LeadGenerationDomains.com. LeadGenerationDomains.com neither endorses nor is responsible for the accuracy or reliability of any opinion, advice, information or statement made on this Site by anyone other than authorized LeadGenerationDomains.com employees acting in their official capacities. LeadGenerationDomains.com does not always confirm or verify if a Service Provider claiming to be a professional or claiming to be qualified to provide professional advice is in fact licensed or otherwise qualified to provide the services or advice being requested. You understand and acknowledge that LeadGenerationDomains.com is not responsible for and does not monitor Content for accuracy or reliability. 

15. Indemnity 

You agree to defend, indemnify, and hold harmless LeadGenerationDomains.com, its officers, directors, and employees (collectively, the "Indemnified Parties"), from and against any claims, actions or demands, including reasonable legal and accounting fees, made by any third party against the Indemnified Parties due to or resulting from your use of the Site, the services offered through the Site, or the Site Content, including claims against the Indemnified Parties for unsatisfactory performance of services listed on the Site, or your violation of this User Agreement. We will notify you in writing of any such claim, demand, action, cost, liability, loss or threat of any thereof, and cooperate with you in the defense or settlement thereof. We are entitled to participate in such defense through our own counsel at our own cost and expense. 

16. Limitation of Liability 

NEITHER LEADGENERATIONDOMAINS.COM NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE (INCLUDING THIRD-PARTY APPLICATIONS AND SITE CONTENT) WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR INDIRECT DAMAGES RELATING TO THIS AGREEMENT OR RESULTING FROM YOUR ACCESS TO, OR USE OF, OR INABILITY TO USE THE SERVICES, THE SITE AND THE SITE CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE KNOW OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT WILL LEADGENERATIONDOMAINS.COM'S LIABILITY TO YOU OR ANY THIRD PARTY ARISING OUT OF ANY USE OF THE SERVICES AND THIS SITE EXCEED THE GREATER OF (A) THE AGGREGATE AMOUNT COMMISSIONS ACTUALLY COLLECTED BY LEADGENERATIONDOMAINS.COM FROM YOU FOR THE SERVICES TO WHICH THE LIABILITY RELATES DURING THE SIX-MONTH PERIOD IMMEDIATELY PRCEDING THE DETERMINATION OF SUCH LIABILITY, AND (B) $250.00. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation or exclusion may not apply to you. 

LEADGENERATIONDOMAINS.COM IS NOT RESPONSIBLE FOR ANY LIABILITY RELATED TO THE COMPLETION, TIMELINESS, ADEQUACY, AND/OR PAYMENT FOR SERVICES LISTED ON OUR SITE. ANY QUESTIONS, COMPLAINTS OR CLAIMS RELATED TO THE COMPLETION, TIMELINESS, ADEQUACY, AND/OR PAYMENT FOR SERVICES SHOULD BE DIRECTED TO THE APPROPRIATE SERVICE PROVIDER. 

The limitations of liability provided in this Agreement inure to the benefit of LeadGenerationDomains.com and all of our respective officers, directors, employees, attorneys, and agents. 

17. Protect Your Password 

You must safeguard the User ID and password you use to access this Site. You are responsible for the actions of any person using the Site with your User ID and password. It is your responsibility to notify us if you need to change or discontinue your User ID and password. You agree to immediately notify LeadGenerationDomains.com of any unauthorized use of your username or password. 

18. Parties Not Permitted to Participate on the Site. 

While LeadGenerationDomains.com reserves the right to restrict use of the Site to anyone for any reason it deems appropriate, parties living in countries with which the United States has an economic embargo prohibiting economic activity with are never allowed to participate on the Site. Any offer, feature, product, or service on, or offered on, the Site is void where prohibited. 

19. Notices 

LeadGenerationDomains.com will provide notices by posting them on the Site and you agree to check the Site at least every 30 days for notices. You also authorize LeadGenerationDomains.com to send notices to you, at LeadGenerationDomains.com's reasonable discretion, via electronic mail unless you otherwise indicate in writing to LeadGenerationDomains.com. Please note that, at all times, you are responsible for updating your personal information to us your current email address. If the last email address that you have provided us is not valid, or for any other reason is not capable of delivering to you the notice described above, our dispatch of the email containing such notice will nonetheless constitute effective notice of the changes. Regardless of whether LeadGenerationDomains.com sends an email notification, you will be considered to have received a notice 30 days after it is made available to you by posting on the Site. 

20. General Provisions 

You are responsible for compliance with applicable laws, keeping in mind that access to the Site Content may not be legal by certain persons or in certain countries. If any part of this User Agreement is held to be unenforceable, the unenforceable part shall be given effect to the greatest extent possible and the remainder will remain in full force and effect. Failure of either party to act or exercise its respective rights under this Agreement upon the breach of any other terms hereof by the other party shall not be construed as a waiver of such a breach or prevent that party from thereafter enforcing strict compliance with the terms thereof. By using this Site, you consent and submit to the exclusive jurisdiction and venue of the state and federal courts located in Dallas County, Texas. 

This User Agreement is personal to you and you may not transfer, assign or delegate this User Agreement to anyone without the express written permission of LeadGenerationDomains.com. Any attempt by you to transfer or assign this User Agreement without the written consent of LeadGenerationDomains.com is null and void. LeadGenerationDomains.com has the right to transfer or assign this Agreement and the rights hereunder to any other person or entity without your consent. This User Agreement and any registration for or subsequent use of the Site will not be construed as creating or implying any relationship of agency, independent contractor, franchise, partnership, or joint venture between any User and LeadGenerationDomains.com. 

This User Agreement and the agreements referenced in this User Agreement comprise the entire agreement between you and LeadGenerationDomains.com with respect to your use of the Site and your relationship with LeadGenerationDomains.com and supersedes all prior agreements between us regarding the subject matter of this Agreement as well as any conflicting or inconsistent terms in any web site that links-to or is linked-from the Site.

We recommend that you print out a copy of this User Agreement for your records.
